ARTICLE I: DEFINITIONS AND INTERPRETATION

1.1 DEFINITIONS

For the purposes of these Terms of Service ("Terms"), the following definitions apply:

"Account" means the user account created by You to access the Platform and Services.

"Affiliate Partner" means any individual or entity participating in Skillify's affiliate marketing program.

"Content" means all educational materials, courses, videos, audio files, text, images, software, and other intellectual property available through the Platform.

"Fraudulent Activity" includes but is not limited to: (a) creating multiple accounts to circumvent usage restrictions; (b) sharing account credentials with unauthorized users; (c) using automated tools to access or download Content; (d) attempting to reverse engineer, copy, or redistribute Content; (e) providing false information during registration or payment; (f) engaging in chargeback fraud or payment disputes in bad faith.

"Platform" means Skillify's website, mobile applications, and all related services and technologies.

"Services" means all educational, technical, and support services provided by Skillify through the Platform.

"Usage Data" means data collected regarding Your use of the Platform, including but not limited to: course completion rates, time spent on Content, device information, IP addresses, and access patterns.

"You", "Your", "User" means the individual or entity accessing or using the Platform and Services.

ARTICLE II: ACCEPTANCE AND MODIFICATIONS

2.1 Agreement to Terms

By creating an account, accessing the Platform, or using any Services, You explicitly acknowledge that You have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If You do not agree to these Terms, You must immediately cease using the Platform and Services.

2.2 Modifications and Updates

2.2.1 Skillify reserves the right to modify these Terms at any time, in its sole discretion, with or without prior notice.

2.2.2 Material changes affecting pricing, refund policies, or user rights will be communicated via email to Your registered address and through prominent notice on the Platform at least thirty (30) days prior to the effective date.

2.2.3 Non-material changes, including clarifications, formatting updates, or additional restrictions, may be implemented immediately upon posting to the Platform.

2.2.4 Your continued use of the Platform after any modification constitutes acceptance of the revised Terms. If You do not agree to any modification, Your sole remedy is to terminate Your account and cease using the Services.

ARTICLE III: ACCOUNT REGISTRATION AND SECURITY

3.1 Account Creation Requirements

3.1.1 You must provide accurate, complete, and current information during registration.

3.1.2 You must be at least eighteen (18) years of age to create an account. If you are under 18, you may only use the Platform under the supervision of a parent or legal guardian who agrees to be bound by these Terms.

3.1.3 You may create only one (1) account per individual. Creating multiple accounts to circumvent restrictions or gain unauthorized benefits is strictly prohibited and constitutes Fraudulent Activity.

3.2 Account Security and Responsibility

3.2.1 You are solely responsible for maintaining the confidentiality of Your account credentials and for all activities that occur under Your account.

3.2.2 Account Sharing Prohibition: You may not share Your account credentials with any third party. Each account is licensed for use by a single individual only.

3.2.3 Device and Access Limitations: Your account may be accessed from a maximum of five (5) registered devices, with no more than two (2) concurrent active sessions at any time.

3.2.4 You must immediately notify Skillify of any unauthorized use of Your account or any other breach of security.

3.3 Geographic and IP Monitoring

3.3.1 Skillify monitors account access patterns, including geographic locations and IP addresses, to detect potentially fraudulent or unauthorized use.

3.3.2 Access from multiple countries within a short time period, use of VPN services to obscure location, or other suspicious access patterns may result in temporary account suspension pending verification.

ARTICLE IV: CONTENT LICENSE AND USAGE RESTRICTIONS

4.1 Limited License Grant

4.1.1 Subject to these Terms, Skillify grants You a limited, non-exclusive, non-transferable, revocable license to access and use the Content solely for Your personal, non-commercial educational purposes.

4.1.2 This license does not include any right to: (a) reproduce, distribute, publicly display, or publicly perform the Content; (b) create derivative works based on the Content; (c) decompile, reverse engineer, or attempt to extract source code from the Content; or (d) remove or modify any proprietary notices or labels.

4.2 Prohibited Uses

You expressly agree NOT to:

4.2.1 Content Extraction: Download, record, screenshot, or otherwise capture Content for storage or distribution outside the Platform, except where explicitly permitted for specific courses.

4.2.2 Commercial Use: Use the Content for any commercial purpose, including but not limited to: teaching, training others, creating competing educational materials, or incorporating Content into commercial products or services.

4.2.3 Bulk Access: Use automated tools, bots, scripts, or other technological means to access, download, or interact with the Platform or Content.

4.2.4 Redistribution: Share, sell, license, or otherwise distribute Content to any third party through any means, including but not limited to: file sharing platforms, social media, email, or physical media.

4.2.5 Circumvention: Attempt to bypass, disable, or interfere with security features, usage monitoring, or access controls implemented by Skillify.

4.3 Usage Monitoring and Limits

4.3.1 Daily Usage Limits: To ensure fair access and prevent abuse, daily usage limits may apply:

Minicourse Subscriptions: Maximum five (5) course completions per 24-hour period
Web All-Access Subscriptions: Maximum three (3) new course starts per 24-hour period
Individual Courses: No daily limits, but completion tracking applies

4.3.2 Progressive Access: New accounts may have restricted access to Content during an initial evaluation period, with full access granted based on usage patterns and account standing.

4.3.3 Usage Data Collection: Skillify collects detailed Usage Data to monitor compliance with these Terms, optimize services, and detect potential abuse. This data may be retained and analyzed for security and business purposes.

4.4 Content Protection Measures

4.4.1 Digital Rights Management: Content may be protected by digital rights management (DRM) technologies. You agree not to circumvent or attempt to remove such protection measures.

4.4.2 Watermarking: Content may include visible or invisible watermarks containing Your account information. Removal or alteration of watermarks is strictly prohibited.

4.4.3 Forensic Tracking: Skillify may employ forensic tracking technologies to identify unauthorized distribution of Content.

ARTICLE V: PAYMENT TERMS AND REFUND POLICY

5.1 Payment Obligations

5.1.1 All fees are stated in United States Dollars (USD) unless otherwise specified.

5.1.2 Subscription Billing: Subscription fees are billed in advance on a monthly or annual basis. You authorize Skillify to charge Your designated payment method for all applicable fees.

5.1.3 Auto-Renewal: Subscriptions automatically renew for successive periods of the same duration unless cancelled prior to the renewal date.

5.1.4 Price Changes: Skillify may modify subscription prices with thirty (30) days' written notice. Price changes will not affect current billing periods but will apply to subsequent renewals.

5.2 Graduated Refund Policy

5.2.1 Subscription Products - Graduated Structure:

Minicourse Subscriptions ($9.9/month, $105/year):

Days 0-3: 100% refund if ≤1 course completed
Days 4-7: 75% refund if ≤3 courses completed
Days 8-14: 50% refund if ≤5 courses completed
After Day 14: No refund available

Web All-Access Subscriptions ($15/month, $200/year):

Days 0-7: 100% refund if ≤1 course completed (no processing fee)
Days 8-21: 70% refund if ≤3 courses completed ($5 processing fee)
Days 22-45: 40% refund if ≤5 courses completed ($10 processing fee)
After Day 45: No refund available

5.2.2 Individual Course Purchases:

Basic Courses ($15-50):

Days 0-7: 100% refund if ≤20% completion
Days 8-21: 60% refund if ≤40% completion ($3 processing fee)
Days 22-30: 30% refund if ≤60% completion ($5 processing fee)
After Day 30: No refund available

Advanced Courses ($50-200):

Days 0-14: 100% refund if ≤15% completion and no certificate issued
Days 15-30: 50% refund if ≤30% completion and no certificate issued
After Day 30: No refund available

5.3 Refund Restrictions and Conditions

5.3.1 Certificate Disqualification: Once a completion certificate has been issued for any course, that course and any associated bundle purchase becomes non-refundable.

5.3.2 Bundle Policies: Refunds for bundle purchases are calculated based on the most restrictive component and apply to the entire bundle - partial refunds are not available.

5.3.3 Promotional Purchases: Courses or subscriptions purchased with promotional codes, discounts greater than 50%, or during special sales events are subject to modified refund terms:

Refund period reduced to 14 days maximum
Processing fees may be higher
Refund amount based on actual amount paid, not regular price

5.3.4 Abuse Prevention: Skillify reserves the right to deny refund requests from users with a pattern of excessive refund requests (more than three refunds in any 12-month period) or suspected fraudulent activity.

5.4 Refund Process and Timeline

5.4.1 Refund requests must be submitted through the Platform's designated refund system or by contacting customer support.

5.4.2 Processing times vary by payment method:

Credit/Debit Cards: 5-10 business days
PayPal: 3-5 business days
Bank Transfer: 7-14 business days
Skillify Credit: Immediate

5.4.3 Skillify may offer alternative remedies in lieu of cash refunds, including account credits with bonus value, course exchanges, or extended access periods.

ARTICLE VI: AFFILIATE PROGRAM TERMS

6.1 Affiliate Eligibility and Application

6.1.1 Eligibility Requirements: To participate in Skillify's affiliate program, You must:

Be at least 18 years of age
Provide valid government-issued identification
Maintain a legitimate business or marketing presence
Comply with all applicable laws and regulations
Pass Skillify's screening and verification process

6.1.2 Application Process: Applications are subject to review and approval at Skillify's sole discretion. Skillify reserves the right to reject any application without providing specific reasons.

6.2 Affiliate Obligations and Restrictions

6.2.1 Prohibited Marketing Practices:

Bidding on Skillify's trademarked terms in paid search advertising
Creating misleading or false advertising content
Using spam email marketing or unsolicited communications
Engaging in cookie stuffing, forced clicks, or other deceptive practices
Making false or exaggerated claims about course content or outcomes

6.2.2 Content and Compliance: All affiliate marketing content must:

Clearly disclose the affiliate relationship in accordance with FTC guidelines
Accurately represent Skillify's services and pricing
Comply with platform policies of social media and advertising networks
Not violate any third-party intellectual property rights

6.3 Commission Structure and Payment

6.3.1 Escrow System: Commission payments are subject to an escrow period:

60% of commission paid immediately upon conversion
40% held in escrow for 60 days to protect against refunds and chargebacks
Escrowed amounts released if no refund or dispute occurs

6.3.2 Quality Score Impact: Commission rates may be adjusted based on affiliate performance metrics including conversion rates, refund rates, and traffic quality.

6.3.3 Payment Terms:

Minimum payout threshold: $50 USD
Payment processing: Monthly, by the 15th of each month
Commission clawbacks apply for refunded or charged-back transactions

6.4 Termination and Post-Termination

6.4.1 Either party may terminate the affiliate relationship with 30 days' written notice.

6.4.2 Upon termination:

All outstanding commissions (including escrow) will be paid within 60 days
Affiliate must cease all promotional activities immediately
Usage of Skillify trademarks and marketing materials must stop
Non-compete restrictions may apply for 90 days in certain circumstances

ARTICLE VII: INTELLECTUAL PROPERTY PROTECTION

7.1 Skillify Intellectual Property

7.1.1 The Platform, Services, and all Content are protected by copyright, trademark, trade secret, and other intellectual property laws.

7.1.2 Trademarks: "Skillify" and all related logos, product names, and service names are trademarks of Skillify. Use of these trademarks without express written permission is prohibited.

7.1.3 Copyright Protection: All Content is protected by copyright and other applicable laws. Unauthorized reproduction, distribution, or modification may result in severe civil and criminal penalties.

7.2 User-Generated Content

7.2.1 License Grant: By submitting content to the Platform (reviews, comments, questions), You grant Skillify a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such content.

7.2.2 Content Standards: All user-generated content must comply with community guidelines and may not contain:

Copyrighted material without permission
Offensive, discriminatory, or harassing language
Spam, promotional content, or commercial solicitations
False or misleading information

7.3 DMCA Compliance

7.3.1 Skillify respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA).

7.3.2 Copyright infringement claims should be submitted to: legal@skillify.asia

7.3.3 Users who repeatedly violate copyright may have their accounts terminated.

ARTICLE VIII: PRIVACY AND DATA PROTECTION

8.1 Data Collection and Use

8.1.1 Skillify collects personal information and Usage Data as described in the Privacy Policy, which is incorporated herein by reference.

8.1.2 Monitoring and Analytics: Skillify monitors user activity for security, fraud prevention, service improvement, and compliance purposes.

8.1.3 Cross-Border Transfers: Data may be transferred to and processed in countries other than Your country of residence, including the United States.

8.2 Data Retention and Security

8.2.1 Personal data is retained for as long as necessary to provide Services or as required by law.

8.2.2 Skillify implements appropriate technical and organizational measures to protect personal data, but cannot guarantee absolute security.

8.3 User Rights and Controls

8.3.1 Depending on your jurisdiction, you may have rights regarding your personal data, including access, correction, deletion, and portability.

ARTICLE IX: FRAUD PREVENTION AND ACCOUNT ACTIONS

9.1 Fraud Detection and Prevention

9.1.1 Monitoring Systems: Skillify employs automated and manual systems to detect fraudulent activity, including but not limited to:

Unusual usage patterns or velocity
Multiple account creation from the same device or IP address
Geographic anomalies in account access
Payment fraud indicators
Content abuse patterns

9.1.2 Risk Assessment: Accounts may be subject to additional verification, transaction limits, or monitoring based on risk assessment algorithms.

9.2 Account Actions and Remedies

9.2.1 Warning and Education: First-time violations may result in warnings and educational communications about proper platform usage.

9.2.2 Temporary Restrictions: Skillify may temporarily limit account functionality, including:

Restricting access to new content
Limiting download or offline capabilities
Requiring additional verification for transactions
Reducing daily usage limits

9.2.3 Account Suspension: Serious or repeated violations may result in temporary account suspension (7-30 days) during investigation.

9.2.4 Account Termination: Skillify reserves the right to immediately terminate accounts for:

Fraudulent activity or material Terms violations
Multiple account creation or sharing
Commercial use of personal accounts
Violation of intellectual property rights
Chargebacks or payment disputes determined to be fraudulent

9.3 Investigation and Appeals Process

9.3.1 Investigation Rights: Skillify reserves the right to investigate suspected violations and may require users to provide additional documentation or information.

9.3.2 Appeals Process: Users may appeal account actions by contacting appeals@skillify.asia within 30 days of the action. Appeals will be reviewed within 5-7 business days.

9.3.3 Evidence Preservation: Skillify may preserve account data and communications as evidence during investigations or legal proceedings.

ARTICLE X: DISCLAIMERS AND LIMITATIONS

10.1 Service Disclaimers

10.1.1 "AS IS" BASIS: THE PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

10.1.2 NO EDUCATIONAL GUARANTEES: While Skillify strives to provide high-quality educational content, we make no guarantees regarding:

Specific learning outcomes or skill acquisition
Career advancement or employment opportunities
Accuracy or completeness of all content
Uninterrupted or error-free service

10.2 Limitation of Liability

10.2.1 MAXIMUM LIABILITY: IN NO EVENT SHALL SKILLIFY'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO SKILLIFY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10.2.2 EXCLUDED DAMAGES: SKILLIFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

Lost profits or revenue
Business interruption
Loss of data or information
Cost of substitute services
Loss of business opportunities

10.3 Indemnification

10.3.1 You agree to indemnify, defend, and hold harmless Skillify, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

Your use of the Platform or Services
Your violation of these Terms
Your infringement of any third-party rights
Your fraudulent or illegal activities

ARTICLE XI: DISPUTE RESOLUTION

11.1 Governing Law

11.1.1 These Terms are governed by the laws of [Jurisdiction], without regard to conflict of law principles.

11.1.2 Any legal action or proceeding must be brought exclusively in the courts of [Jurisdiction].

11.2 Mandatory Arbitration

11.2.1 Binding Arbitration: Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration rather than in court.

11.2.2 Arbitration Rules: Arbitration shall be conducted under the Commercial Arbitration Rules of the American Arbitration Association (AAA).

11.2.3 Individual Claims Only: You agree that any arbitration shall be limited to the dispute between You and Skillify individually. You may not consolidate or join claims with other users.

11.2.4 Class Action Waiver: YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATIONS.

11.3 Exceptions to Arbitration

11.3.1 Either party may seek injunctive relief in court for intellectual property violations or breaches of confidentiality.

11.3.2 Small claims court actions under $10,000 may be pursued in lieu of arbitration.

ARTICLE XII: GENERAL PROVISIONS

12.1 Entire Agreement

12.1.1 These Terms, together with the Privacy Policy and any other referenced policies, constitute the entire agreement between You and Skillify.

12.1.2 These Terms supersede any prior agreements or understandings regarding the subject matter herein.

12.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

12.3 Assignment

12.3.1 You may not assign or transfer Your rights under these Terms without Skillify's written consent.

12.3.2 Skillify may assign these Terms in connection with a merger, acquisition, or sale of assets.

12.4 Waiver

No waiver of any term or condition shall be effective unless in writing and signed by Skillify.

12.5 Force Majeure

Skillify shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, terrorism, government actions, or network failures.

12.6 Survival

The following provisions shall survive termination of these Terms: intellectual property rights, payment obligations, disclaimers, limitation of liability, indemnification, and dispute resolution.
